Agreement to our legal terms

We are IRDB LLC, doing business as IRCODE ("Company," "we," "us," "our"), a company registered in Wyoming, United States at 1309 Coffeen Ave, Suite 1200, Sheridan, WY 82801.

We operate the website ircode.com (the "Site"), the mobile application IRCODE (the "App"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

IRCODE (Image Retrieval Code) is a technology platform that allows creators, brands, and individuals to transform their real-life creations into interactive, registered digital artifacts, bridging the physical and digital worlds with QR Code-like functionality in real time. At the heart of IRCODE is our proprietary Image Retrieval System (IR-Engine), powered by a neural network-based image identification system trained to discern intricate image properties.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and IRDB LLC, concerning your access to and use of the Services. By accessing the Services, you agree to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms from time to time, indicated by an updated "Last updated" date. The Services are intended for users who are at least 18 years old.

1. Our services

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. The Services are not tailored to comply with industry-specific regulations (HIPAA, FISMA, etc.). You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

2. Intellectual property rights

We are the owner or licensee of all intellectual property rights in our Services, including source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics (the "Content"), as well as the trademarks, service marks, and logos (the "Marks"). The Content and Marks are provided "AS IS" for your personal, non-commercial use or internal business purpose only. Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print a copy of any portion of the Content to which you have properly gained access.

Your submissions and contributions. By sending us Submissions, you assign to us all intellectual property rights in such Submission. By posting Contributions, you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide license to use, copy, reproduce, distribute, sell, publish, broadcast, and otherwise exploit your Contributions for any purpose. You are responsible for what you post or upload, and you warrant that your Submissions and/or Contributions are original to you or that you have the necessary rights and licenses.

3. User representations

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain its accuracy; (3) you have the legal capacity and agree to comply with these Legal Terms; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Services through automated or non-human means; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use will not violate any applicable law or regulation.

4. User registration

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username if we determine it is inappropriate, obscene, or otherwise objectionable.

5. Products

All products are subject to availability. We reserve the right to discontinue any products at any time for any reason. Prices for all products are subject to change.

6. Purchases and payment

We accept Visa, Mastercard, American Express, Discover, PayPal, and Apple Pay. You agree to provide current, complete, and accurate purchase and account information for all purchases. Sales tax will be added as required. All payments shall be in US dollars. We reserve the right to refuse any order and to limit or cancel quantities purchased.

7. Subscriptions

Your subscription will continue and automatically renew unless canceled. You consent to our charging your payment method on a recurring basis until you cancel. You can cancel at any time by logging into your account; cancellation takes effect at the end of the current paid term. We may make changes to the subscription fee in accordance with applicable law.

8. Refunds policy

All sales are final and no refund will be issued.

9. Software

Any software included with our Services is provided "AS IS" without warranty of any kind. If accompanied by an end user license agreement ("EULA"), the EULA governs your use. Otherwise, we grant you a non-exclusive, revocable, personal, and non-transferable license to use such software solely in connection with our Services.

10. Prohibited activities

You may not access or use the Services for any purpose other than that for which we make the Services available. Among other things, you agree not to: systematically retrieve data to create a collection or database without permission; trick, defraud, or mislead us or other users; circumvent, disable, or interfere with security-related features; disparage or harm us or the Services; use the Services to harass, abuse, or harm others; use the Services in violation of applicable laws; upload viruses or malicious code; engage in automated use of the system (scripts, bots, scrapers); impersonate another user; interfere with or create an undue burden on the Services; reverse engineer any software; use the Services to scan or upload images for illegal, unethical, or malicious purposes (including identifying individuals without consent); manipulate referral links, affiliate partnerships, or commission tracking; facilitate deceptive or fraudulent activities; use the Services to create, train, or improve competing products or AI models without authorization; or bypass, disable, or interfere with IRCODE's image recognition, tracking, or analytics systems.

11. User generated contributions

When you create or make available any Contributions, you represent and warrant that they do not infringe third-party rights; that you have the necessary licenses and permissions; that you have consent from identifiable individuals; and that your Contributions are not false, misleading, obscene, harassing, or otherwise objectionable, and do not violate any applicable law.

12. Contribution license

By posting your Contributions, you grant us an unrestricted, irrevocable, perpetual, non-exclusive, transferable, royalty-free, worldwide license to host, use, copy, reproduce, publish, broadcast, store, and distribute such Contributions for any purpose. We do not assert any ownership over your Contributions; you retain full ownership. We have the right, in our sole discretion, to edit, re-categorize, or delete any Contributions.

13. Mobile application license

If you access the Services via the App, we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the App on devices you own or control, strictly in accordance with these Legal Terms. Additional terms apply when you obtain the App from the Apple Store or Google Play, each of which is a third-party beneficiary of this license.

14. Third-party websites and content

The Services may contain links to Third-Party Websites and Third-Party Content that are not investigated or monitored by us. We are not responsible for them, and inclusion does not imply endorsement. If you access Third-Party Websites or Content, you do so at your own risk and these Legal Terms no longer govern.

15. Advertisers

We allow advertisers to display advertisements in certain areas of the Services. We simply provide the space and have no other relationship with advertisers.

16. Services management

We reserve the right, but not the obligation, to monitor the Services for violations, take appropriate legal action, refuse or restrict access, remove burdensome content, and otherwise manage the Services to protect our rights and property.

17. Privacy policy

We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. The Services are hosted in the United States.

18. Digital Millennium Copyright Act (DMCA) notice and policy

If you believe material on the Services infringes your copyright, please notify our Designated Copyright Agent with a Notification meeting the requirements of 17 U.S.C. § 512(c)(3). Counter Notifications may be submitted as described in the DMCA. 19. Term and termination

These Legal Terms remain in full force while you use the Services. We reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Services to any person for any reason, including for breach of these Legal Terms or any applicable law.

20. Modifications and interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We cannot guarantee the Services will be available at all times and will not be liable for any loss or inconvenience caused by downtime or discontinuance.

21. Governing law

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

22. Dispute resolution

The Parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days. If unresolved, the Dispute (with limited exceptions) will be finally and exclusively resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association ("AAA"). YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. Arbitration will take place in Texas, USA. Arbitration is limited to disputes between the Parties individually; class actions are not permitted. Exceptions include disputes concerning intellectual property rights, allegations of theft, piracy, invasion of privacy, or unauthorized use, and claims for injunctive relief.

23. Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors and to update the information at any time, without prior notice.

24. Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

25. Limitations of liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE LESSER OF THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE THREE (3) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING OR $60.00 USD.

26. Indemnification

You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees, made by any third party arising out of your Contributions, your use of the Services, your breach of these Legal Terms, or your violation of the rights of a third party.

27. User data

We will maintain certain data that you transmit to the Services. Although we perform regular routine backups, you are solely responsible for all data that you transmit or that relates to any activity you undertake using the Services.

28. Electronic communications, transactions, and signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree to the use of electronic signatures, contracts, orders, and records.

29. California users and residents

If any complaint is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834 or by telephone at (800) 952-5210 or (916) 445-1254.

30. Miscellaneous

These Legal Terms and any policies posted by us constitute the entire agreement between you and us. Our failure to exercise or enforce any right or provision shall not operate as a waiver. If any provision is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity of the remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and us.

31. Affiliate link disclosure

IRCODE may earn commissions from affiliate links or referrals generated through the Services. Users acknowledge that third-party websites linked through scanned content are not owned or controlled by IRCODE, and IRCODE is not responsible for their availability, accuracy, or content.
